Terms of Service — InvokeWorks

1. Acceptance of Terms

By accessing or using InvokeWorks ("Platform", "Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Platform. InvokeWorks is operated by InvokeWorks Inc. ("we", "us", "our").

2. Description of Service

InvokeWorks is a marketplace and managed gateway that allows AI agent developers ("Consumers") to discover and connect to tools and integrations ("Connectors") published by third-party developers and companies ("Providers"). The Platform handles authentication, rate limiting, quota enforcement, billing, and request tracing on behalf of both parties.

3. Account Registration

You must provide accurate, complete, and current information when registering an account. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account. You must be at least 18 years old to use the Platform.

InvokeWorks reserves the right to suspend or terminate accounts that violate these Terms, provide false information, or engage in fraudulent, abusive, or illegal activity.

4. Consumer Responsibilities

As a Consumer, you agree to:

Use Connectors only for lawful purposes and in accordance with each Connector's documentation.
Not attempt to circumvent rate limits, quota enforcement, or authentication mechanisms.
Not use the Platform to exfiltrate, scrape, or misuse data obtained through Connectors.
Comply with the terms of service of any third-party service accessed via a Connector.

5. Provider Responsibilities

Providers publishing Connectors on the Platform agree to the Provider Agreement in addition to these Terms. Providers are solely responsible for the uptime, security, correctness, and compliance of their Connector's upstream endpoint.

6. Fees and Billing

Subscription fees are charged at the start of each billing period. Metered usage fees are calculated at the end of each period based on actual request volume. All fees are non-refundable except where required by law. InvokeWorks retains a platform fee (currently 20%) on revenue generated by Providers; Providers receive the remaining 80%.

7. Intellectual Property

InvokeWorks and its licensors retain all rights in the Platform, its software, branding, and documentation. Providers retain ownership of their Connectors and upstream services. By publishing a Connector, Providers grant InvokeWorks a non-exclusive, worldwide licence to list, describe, and route traffic to the Connector for the purpose of operating the Platform.

8. Prohibited Uses

You may not use the Platform to:

Violate any applicable law or regulation.
Transmit malware, spam, or malicious code.
Interfere with or disrupt the Platform or servers connected to it.
Reverse-engineer, decompile, or attempt to extract source code from the Platform.
Impersonate any person, company, or entity.
Facilitate illegal activity or facilitate harm to third parties.

9. Disclaimer of Warranties

THE PLATFORM IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. INVOKEWORKS DOES NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, INVOKEWORKS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

11. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein, without regard to conflict of law principles. Any disputes shall be resolved exclusively in the courts of Ontario, Canada.

12. Changes to Terms

We may update these Terms from time to time. We will notify registered users of material changes via email or in-app notification. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.
